1. Introduction

These Terms & Conditions (“Terms”) govern your use of the Phone2Quote service (“Service”), provided by ClickMovements Ltd (“we”, “us”, “our”).

By subscribing to the Service, accessing our website, or using any Phone2Quote system, you agree to these Terms.

If you do not agree, you must not use the Service.


2. The Service

Phone2Quote is an AI-powered call-handling, quoting, and CRM automation system delivered through the GoHighLevel (GHL) platform and associated integrations.

The Service includes (depending on your plan):

- AI call answering

- Quote preparation

- Automated follow-up sequences

- CRM setup within GHL

- Reporting/dashboard features

- Limited monthly optimisation

- Technical support

The exact features depend on the plan selected at purchase.

We may update or improve the Service at any time, provided this does not materially reduce functionality.


3. Subscription & Payments

3.1 Subscription Fees

The Service operates on a monthly subscription basis. Fees are listed on our website or agreed in writing.

3.2 Billing

Subscriptions are billed monthly in advance.

Setup fees (if applicable) are billed immediately.

3.3 Automatic Renewal

Your subscription renews automatically each month until cancelled.

3.4 Failed Payments

If a payment fails, we may:

- retry the payment

- suspend access

- charge late fees if applicable

3.5 Price Changes

We may change pricing with 30 days’ notice.

You may cancel if you do not agree to new pricing.


4. Fair Use Policy

AI usage is subject to a Fair Use Policy designed to keep the service reliable and affordable.

Your plan includes a monthly AI usage allowance (published on our website).

If your usage exceeds this allowance:

- you will be notified, and

- any excess usage will be charged at cost price on your next invoice.

Regular excessive usage may require upgrading to a higher plan.

5. Data Protection & Privacy

5.1 GDPR

We comply with the UK GDPR and the Data Protection Act 2018.

5.2 Data Processing

We act as a Data Processor when handling your CRM data on your behalf.

You remain the Data Controller for all customer data entered into GHL.

5.3 Third-Party Providers

To deliver the Service, we use providers including (but not limited to):

- GoHighLevel (CRM & automation)

- OpenAI (AI processing through API)

- Twilio or telco partners (voice/SMS)

- Google (Analytics, Ads, Workspace)

- Facebook/Meta Ads

- Pabbly Connect (integrations)

All providers operate under GDPR-compliant agreements.

5.4 AI Data

OpenAI API does not use your data to train public models.

6. Customer Responsibilities

You agree to:

- Provide accurate business information

- Supply truthful pricing and quote details

- Ensure your customers are informed about call recording

- Use the Service lawfully and ethically

- Not misuse or abuse AI features

- Maintain security of your login credentials

You are responsible for the accuracy of any pricing, quotes, or information generated by the Service.


7. Service Availability

We aim for high availability but do not guarantee uninterrupted service.

The Service may be unavailable due to:

- Maintenance

- System updates

- Third-party outages

- Internet or telecom issues

We are not liable for such downtime.


8. Limitation of Liability

To the maximum extent permitted by law:

- We are not liable for indirect, incidental, or consequential loss

- Our total liability will not exceed the subscription fees you have paid in the previous 3 months

- We are not responsible for lost revenue due to missed calls, incorrect quotes, customer behaviour, third-party failures, or inaccurate data provided by you

You agree that automation and AI are inherently probabilistic and require human oversight.


9. No Guarantee of Commercial Outcomes

While Phone2Quote is designed to improve speed and efficiency, we do not guarantee:

- increased revenue

- successful job completion

- customer satisfaction

- commercial results

Any guarantee offered (e.g., “80% quote speed improvement”) refers specifically to operational performance, not financial outcomes.


10. Cancellation & Termination

10.1 You may cancel at any time

You can cancel your subscription via written request or your billing portal.

Cancellation takes effect at the end of your billing period.

10.2 We may terminate if:

- you breach these Terms

- you misuse the Service

- illegal or harmful activity is detected

- payments fail repeatedly

- usage significantly exceeds Fair Use and no upgrade occurs

Upon termination, your account may be disabled and data may be deleted per our retention policy.


11. Intellectual Property

All branding, content, training materials, AI prompts, automations, and system architecture provided as part of Phone2Quote remain the intellectual property of ClickMovements Ltd.

You are granted a non-exclusive licence to use the Service while subscribed.


12. Third-Party Integrations

We are not liable for:

- downtime

- data loss

- billing issues

- usage fees

- API changes

caused by third-party platforms (e.g., GHL, Google, Meta, Twilio, Pabbly).


13. Modifications to Terms

We may update these Terms occasionally.

Continued use of the Service constitutes acceptance of updated Terms.


14. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
